# Terms &amp; Conditions
The terms on which we quote, erect, hire, inspect and dismantle scaffolding across Kent, Sussex and London.

## 1. Contract parties
The contract of scaffolding erection and hire is between Thompsons Towers Scaffolding Services Ltd and the hiring customer, whether that is a company, a corporation, a public authority or a person taking ownership of the scaffolding during the hire period. Our office is at 10 Carpenters Ln, Hadlow, Tonbridge, Kent TN11 0HW, and our yard is in Five Oak Green.

## 2. Exclusion of other terms
All terms and conditions of the contract between Thompsons Towers Scaffolding Services Ltd and the hirer are incorporated in this document. Unless stated within this document, no other condition or warranty shall be implied or deemed to be incorporated.

The hirer acknowledges that the hirer has not entered into this contract in reliance upon any representation made by the owner, save insofar as the same is set out herein.

## 3. Hire agreement
Thompsons Towers Scaffolding Services Ltd will let the scaffolding to the hirer as set out in the invoice and quotation referred to overleaf.

## 4. Hire period
The hire period for all scaffolding supplied and erected is 6 weeks from the date the scaffolding is erected and completed, unless an alternative hire period has been specifically stated and agreed in your quotation. Should the 6 week hire period expire, there will be an additional hire charge for the scaffolding unless an alternative hire period has been specifically stated within the agreed quotation and invoice.
- Additional hire past 6 weeks, unless otherwise stated in the quotation and invoice, will be charged at 9.5% of the total price, per week, until a date is confirmed as ready to be dismantled.
- Thompsons Towers Scaffolding Services Ltd may give the hiring customer no less than seven days' notice requiring Thompsons Towers Scaffolding Services Ltd to remove the scaffolding before the take down date stated on the quotation and invoice, or before the expiry of the minimum 6 week hire period. In the event of such removal there shall be no reduction in, or addition to, the contract price.

## 5. Price

- The contract price set out in the quotation overleaf is available for acceptance within 12 weeks of the date of that quotation.
- The contract price does not include ladders or lights unless expressly included.
- Unless specifically agreed in writing, the contract price includes boarding to one lift only. Boarding to additional lifts will be charged as an amendment.
- Unless specifically agreed in writing, any alteration to the scaffolding carried out during the hire shall be charged by the owner as an amendment incurring an additional fee, which will be agreed in writing before the alteration is carried out. This shall be paid by the hiring customer in advance of any alteration.

## 6. Payment terms
The invoice is due for payment in full within seven days of receipt of invoice. No retentions or main contractor's discounts are acceptable. Should invoices become overdue they will automatically be subject to late payment charges and be directed to a debt collection agency, where an additional fee will be applied.

## 7. Delivery, erection, dismantling and liability for loss and damage to scaffolding

- Thompsons Towers Scaffolding Services Ltd will be solely responsible for the delivery, erection and dismantling of the scaffolding.
- The hiring customer shall not alter, remove or in any way interfere with the scaffolding, or permit any alteration, removal or interference with the scaffolding erected by Thompsons Towers Scaffolding Services Ltd, the owner.
- The hiring customer shall pay to the owner the full replacement cost of all scaffolding lost, stolen, destroyed or otherwise missing during the hire, or damaged during the period of hire (fair wear and tear excepted).
- We require a minimum of two working days to alter any dates of installation or dismantle. Should we attend site and be unable to continue with our work, a call out charge will apply.

## 8. Exclusion of liability of owner

- Thompsons Towers Scaffolding Services Ltd shall not be liable for loss, damage, injury or delay due to any cause beyond its control, including (without prejudice to the generality of the foregoing) acts of government, strikes, lockouts, fire, lightning, storm, tempest, aircraft, explosion, flooding, riots, civil commotions, acts of war, malicious mischief or theft.
- Whilst Thompsons Towers Scaffolding Services Ltd will take all reasonable care to avoid damage, it shall not be liable for any damage caused during the erection, alteration or dismantling of scaffolding where such damage is caused to flat roofs, slates, tiles, asbestos sheets and other roofing materials, nor to down pipes and guttering, nor to any part of any building in tying in such scaffolding to provide lateral support. In the event that any roof tiles are broken or damaged during the installation of scaffolding, the contractor agrees to replace the affected tiles upon dismantling of the scaffolding. Replacement tiles are to be supplied by the client or the client's appointed building company.
- Thompsons Towers Scaffolding Services Ltd shall not be liable for any loss or damage howsoever caused if the scaffolding has been altered, moved or otherwise interfered with other than by the owner, or if the hiring customer has failed to comply with the hirer's obligations under this contract.
- No liability shall attach to Thompsons Towers Scaffolding Services Ltd, either in contract or in tort, for loss, injury or damage sustained by reason of any defect in the scaffolding or in the erection or alteration thereof, whether such defect be latent or apparent on examination.
- All satellite dishes and aerials should be removed prior to erection of scaffolding. In the event of such being left in place, Thompsons Towers Scaffolding Services Ltd accepts no liability for any damage or interference.

## 9. Obligations of the hiring customer
The hiring customer shall:

- Obtain and renew all licences, permits and easements that may be required for the erection of the scaffolding referred to overleaf.
- Ensure that all areas to be scaffolded are of sound construction and provide a sound base for such scaffolding.
- Ensure that all overhead wires and cables are covered, insulated and made safe before the erection of scaffolding and, in default, shall indemnify the owner in respect of all expenses incurred and losses suffered by the owner in making safe such overhead wires and cables.
- Ensure that all scaffold boards, tarpaulins and any other loose items of scaffolding are tied down and made secure in high winds.
- Ensure that in all areas to be scaffolded the owner can obtain adequate provision to tie in and prevent lateral movement of scaffolding.
- Ensure that lighting equipment for scaffolding on public highways remains in place and in good working order throughout the hire, and shall replace any defective bulbs or other lost, stolen or defective lighting equipment forthwith at the hirer's expense.

## 10. Ownership of scaffolding and rights of owner to remove scaffolding

- The scaffolding shall remain the property of Thompsons Towers Scaffolding Services Ltd, and nothing in this contract shall confer or be deemed to confer any interest in the scaffolding to the hiring customer.
- Upon the determination of this contract, whether by effluxion of time or otherwise, Thompsons Towers Scaffolding Services Ltd may without notice retake possession of the scaffolding and may for that purpose, by itself, its servants or agents and without previous notice, enter upon any land or premises on which the scaffolding is, or is believed by the owner to be, situated. Thompsons Towers Scaffolding Services Ltd reserves the right to advertise on all scaffolding.

## 11. Scaffolding pavement licence and removal

- All pavement licences, permits or consents required for the erection, occupation and use of scaffolding on a public highway or pavement shall be obtained and paid for in full by the hiring customer upon request and, in all cases, prior to the scaffolding being erected, maintained or otherwise used.
- Where any required pavement licence, permit or consent has not been paid for, has expired, has been withdrawn, or where no valid licence, permit or consent is in place, Thompsons Towers Scaffolding Services Ltd reserves the right to refuse to erect or maintain the scaffolding and/or to remove the scaffolding without further notice to the hiring customer.
- The hiring customer shall remain responsible for all costs, fees, charges, penalties and expenses arising from any failure to obtain, renew or pay for the required pavement licence, permit or consent.
- A minimum of seven (7) days' written notice is required from the hiring customer for any instruction to dismantle and remove the scaffolding, unless otherwise agreed in writing by Thompsons Towers Scaffolding Services Ltd.
- Additional charges may apply where less than seven (7) days' written notice is provided, including where the requested dismantling or removal requires an amendment to the agreed schedule or causes additional labour, transport, administration or other costs to be incurred.
- Nothing in this clause shall restrict Thompsons Towers Scaffolding Services Ltd's right to remove scaffolding immediately, or without further notice, where removal is required due to the absence, expiry or non-payment of a required pavement licence, permit or consent, or where Thompsons Towers Scaffolding Services Ltd considers removal necessary for safety, legal, regulatory or operational reasons.
